3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your project
• Respond to requests for feedback and approval in a timely manner
• Provide necessary content, images, and materials for your project
• Make payments according to the agreed schedule
• Respect intellectual property rights

4. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Final payment is due upon project completion and delivery

5. Intellectual Property

You retain ownership of all content, materials, and intellectual property you provide to us for your project.

Upon full payment, you will own the final work product created specifically for your project. We retain the right to use general knowledge, skills, and techniques gained during the project.

5.3 Third-Party Materials

Any third-party materials used in your project (fonts, images, libraries) may be subject to their own licensing terms.

6. Project Timeline and Delays

Project timelines are estimates and may be affected by:

• Client response time for feedback and approvals
• Scope changes or additional requirements
• Third-party dependencies
• Unforeseen technical challenges

7. Revisions and Changes

Minor revisions are typically included in the project scope. Major changes or additions may incur additional charges and extend the project timeline.

8. Limitation of Liability

To the maximum extent permitted by law, NRG WebWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9. Warranty and Support

We provide a limited warranty on our work for 30 days after project completion. This warranty covers defects in workmanship but does not include:

• Changes made by the client or third parties
• Issues caused by third-party software or services
• Normal wear and tear or expected maintenance

10. Confidentiality

We will maintain the confidentiality of your business information and project details. We will not disclose confidential information to third parties without your written consent.

11. Termination

Either party may terminate this agreement with written notice. Upon termination, you will be responsible for payment of all work completed up to the termination date.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify clients of any material changes via email or through our website.
